Terms of Service

Last updated 12 October 2026. Effective 12 October 2026.

These terms govern the use of the services provided by Jacked Jellies (Pty) Ltd, registration number 2025/428262/07, trading as Sayliss Technologies ("Sayliss", "we", "us"). By using the service, the customer ("you") agrees to them.

1. The service

Sayliss provides software that receives messages sent to your business across messaging channels, reads them (including transcribing voice notes and reading photos and documents), and suggests replies. The service may also read records in systems you authorise us to connect to, so that a suggestion can be based on accurate information.

Every reply starts as a suggestion for a person you authorise to approve. You may switch specific kinds of message to send automatically, and decide which kinds always need a person. Automatic sending only happens within 24 hours of the customer's last message. You can turn all automatic sending off at any time, and you are responsible for the rules you switch on. Email replies are always sent by a person you authorise; they are never sent automatically. Where a matter falls outside what the service is configured to handle, it goes to a person rather than being answered.

We build your workspace in your own database account, and AI processing runs in your own AI provider account. You own those accounts and their data; we operate them on your instruction under a written agreement.

2. Your account and authorisations

You are responsible for:

  • the accuracy of the business information you give us;
  • maintaining the accounts and platform approvals the service depends on, including any WhatsApp Business Platform, Instagram or Facebook accounts;
  • who at your business you authorise to approve outbound messages;
  • the content of any message you approve;
  • the rules you switch to automatic, and which kinds of message must wait for a person;
  • the mailboxes you connect, and the app passwords you create for them (deleting an app password cuts off our access to that mailbox at once); and
  • your AI provider account and its costs.

You may withdraw any authorisation at any time. Doing so will stop the affected part of the service.

3. Acceptable use

You may not use the service to:

  • send unsolicited marketing, bulk messaging or any communication prohibited by the rules of the platform it is sent on;
  • message people who have not contacted your business, except where the platform expressly permits it and the recipient has consented;
  • impersonate another business or person, or present an automatic reply as written by a named person;
  • process personal information you have no lawful basis to process;
  • break the law of any country in which you or your customers are located, or the terms of any platform the service connects to, including the Meta Platform Terms and the WhatsApp Business Messaging Policy.

We may suspend the service immediately where we reasonably believe it is being used in breach of this clause, or where continuing would put our platform access at risk.

4. Platform dependencies

The service depends on third-party platforms, including those operated by Meta, and on their continued approval of our applications. Those platforms may change their rules, pricing, approvals or availability at any time and without notice to us. We are not liable for any interruption, restriction or loss caused by a third-party platform, though we will tell you promptly when we become aware of one.

5. Fees

Fees, the billing period and any usage charges are set out in the written order or proposal agreed between us. Third-party costs incurred on your behalf, such as per-conversation charges levied by a messaging platform, are payable by you. Invoices are due within 14 days of issue unless agreed otherwise.

6. Your data

You retain ownership of your business data and of the personal information of the people who contact you. We process it only to provide the service, as described in our privacy policy, which forms part of these terms. Where we process personal information on your behalf, you are the responsible party and we are the operator for the purposes of the Protection of Personal Information Act, 2013. Your conversations are stored in your own workspace; our connection service keeps only what it needs to deliver messages, as set out in our privacy policy.

On termination we will delete or return the personal information we hold on your behalf within 60 days, except where the law requires us to keep it.

7. Confidentiality

Each party will keep the other's confidential information confidential and use it only to perform under these terms. This obligation continues for three years after termination.

8. Availability

We aim to keep the service available and to restore it promptly when it is not, but we do not guarantee uninterrupted operation. The service may be unavailable during maintenance, or because of a fault at a third-party provider. Incoming messages are stored as soon as they arrive, and a daily health check confirms each connection is still receiving.

9. No professional advice

Suggested replies, transcripts and descriptions of files are produced automatically and may be wrong; review them before approving. They are not legal, financial, medical or other professional advice. You are responsible for what you approve and send.

10. Warranties and liability

The service is provided as is. To the maximum extent permitted by law, we exclude all implied warranties. Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.

Subject to the above, our total liability arising out of or in connection with these terms is limited to the fees paid by you to us in the three months preceding the event giving rise to the claim. Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings.

11. Term and termination

Either party may terminate on 30 days' written notice. Either party may terminate immediately if the other commits a material breach that is not remedied within 14 days of written notice, or becomes insolvent. On termination you must pay for the service provided up to the termination date.

12. Changes to these terms

We may update these terms. Where a change materially affects your rights we will give at least 30 days' notice, and you may terminate without penalty before it takes effect.

13. Governing law

These terms are governed by the law of the Republic of South Africa, and the parties submit to the non-exclusive jurisdiction of the South African courts.
